Terms and Conditions of Trading of the VOC Spares Company Limited (Vincent Spares)

Hereinafter referred to as VINCENT SPARES.

   1.Pricing

Every effort is made to ensure all of the prices shown are correct. We are not responsible for any errors that occur. If an error is found before your order is processed, we will notify you as soon as we can. All prices shown on our website can be set by the user to include or exclude VAT at the current UK rate of 20%. We will however always endeavour to apply the correct rate of VAT that applies to your destination (see below). Customers resident inside the UK You should select the VAT inclusive price. Failure to do so may incur a delay to your order. Customers resident outside the UK. You should have selected NO VAT on your order, however please note that you may be liable to pay your own customs taxes on arrival of the goods.

Registration

Every new customer must log-in to the website and apply for registration and approval by Vincent Spares (see Privacy Policy below). This enables us to apply the discount to those eligible customers and to register the customer’s details for future orders.

Discount: Individual Shareholders of Vincent Spares and current members of The Vincent HRD Owners Club (VOC) (Note : Membership number must be given and details will be checked against a current list of names supplied by the VOC) are granted a 10% discount on most parts for personal use only. This is for personal, non-commercial use only. Any suspected breach of this condition (e g re-sale of part to another party) will result in the benefit being withdrawn. There are also discounts available for approved trade customers who can qualify for an agreed discount; Non-members of the VOC are welcome use the website.

Shipping/Postage Charges

All Customers: The basic charges are included in the purchase price of the goods. This is done by collecting the total postage and packing charges for all our goods over a period and then apportioning that out as a small percentage addition to our price. This method enables us to give you the full price at the point of order, saves us time in assembling the order, and importantly if a few items are missing from your order, we can ship them later without obtaining extra funds or incurring delays. A few excessively bulky or heavy items sent abroad may incur extra charges and also an individual order with a value below £20 will also incur an appropriate carriage charge. When these charges are applied, they are shown on the invoice. Our aim is to get your order to you as soon as possible. We automatically use the most cost-effective shipping method available. Should you require special courier service a charge may be levied. Collection in person: VAT at the current UK rate of 20% will be charged on all collections.

Backorders:

 If one or more of your items are not in stock, we will backorder the item(s). We will contact you with the anticipated delivery time with the option to part ship, hold the order or cancel those item(s). Should the item(s) come into stock relatively quickly we ship, if items remain on backorder for an extended period, we will contact you to confirm the item(s) are still required.

Incorrect parts:

We endeavour to supply customers’ orders correctly every time. If, however we have supplied the incorrect part or the quality of a part is not to your satisfaction, please contact us as soon as possible so that we can arrange to have the part returned for a full refund or replacement. See item 6 Returns, below.

  1. Payment

 Your credit/debit card will be billed in the name of Vincent Spares. You can pay by any, Visa, MasterCard, Delta, Switch, Solo card. To ensure that shopping on-line is secure, your credit/debit details will be handled by Opayo and Elevon.  Vincent Spares does not store any payment information on its servers. The prices displayed on our website are in British pounds

  1. Cancellations

We can cancel any order up to the point of despatch provided there are no special ordered parts within your order. Please note we cannot offer a cancellation or refund on non-stock items specially ordered for you.

  1. Warranty

All items supplied carry a 12-month warranty. Items not used for the purpose intended, incorrectly fitted, misuse or fair wear and tear is excluded. Only the part itself is covered by the warranty we cannot cover consequential loss. If you are not happy with a part sent, for any reason, it can be returned and either replaced or refunded. See item 6. Returns below. Goods correctly supplied may be subject to a handling charge if returned. You should check all goods upon receipt. Return postage may be refundable. Vincent Spares hold worldwide product liability insurance cover. Please note this very important issue: as was the case when the high-performance Vincent motorcycles were originally assembled, many components require highly skilled fitting skills that take years of training and experience to acquire. Whilst every effort is made to supply the correct components to drawing, the final onus on fitting is with the fitter. If you do not own the correct tools and have the necessary detailed skills and experience for assembly of complex classic high-performance motorcycles, then entrust the job to someone who is suitably qualified.   This is both a safety and potential serious machine damage issue.   We assume no liability for parts incorrectly fitted without sufficient and highly skilled fitting experience together with suitable training on maintaining high performance classic motorcycles.

  1. Website Orders

When you have placed your order on-line, we will send you an e-mail confirmation, this is produced automatically so that you have confirmation of your order details. An automatic confirmation does not necessarily mean that we will be able to meet your order. Once orders are placed on the web-shop we transfer them on to our system and they are reviewed by a member of our staff who will inform you of any issues with your order. Orders placed via our website (www.vincentspares.co.uk) will be treated as an offer to buy and shall not be accepted or binding upon Vincent Spares until confirmed or acknowledged in writing by means of invoice or statement confirming acceptance of your order or by despatch of goods to you. Order acknowledgement sent by the Company subsequent to the order and payment shall not amount to confirmation of order. The Company reserve the right to refuse any offer to purchase prior to despatch, where goods ordered become unavailable, the price of goods varies or an error is made by the Company in the price, description or for some other reason, whereupon a full refund of your payment will be made to you, usually in the method you made payment to the Company

    6.Privacy Policy

Vincent Spares does not disclose buyers’ information to third parties other than when order details are processed as part of the order fulfilment such as a delivery service. In this case, the third party will not disclose any of the details to any other third party. Vincent Spares is registered in accordance with United Kingdom data protection legislation and will hold and use your personal data strictly in accordance with that. Once you are registered as a customer, cookies are used on this shopping site to keep track of the contents of your shopping cart, to store delivery addresses and store other details that are also used after you have logged on as part of that process. You can turn off cookies within your browser by going to ‘Tools | Internet Options | Privacy’ (in Internet Explorer) and selecting to block cookies. If you turn off cookies, you will be unable to place orders or benefit from the other features that use cookies. Data collected by this site is used to take and fulfil customer orders, administer, and enhance the site and service, facilitate delivery goods. All payments taken on orders placed via the website are processed via a secure 3rd party who are fully PCI compliant. No information relating to your credit or debit cards placed via an order entered on our website is held by us.

  1. Returned goods

Returned goods can only be accepted on the following conditions:

  1. You have contacted Vincent Spares and we have requested you to return the items.
  2. Parts should be returned in \”as new\” condition and in their original packaging, if applicable.
  3. Parts must be suitably packed, loss or damage to items due to insufficient packing will not be refunded.
  4. Full return postage must be paid, if we incur a charge for insufficient postage, we will deduct this from any refund, the risk of returning the goods to us is with the sender. Insurance should be arranged for expensive items
  5. Customs documentation must be annotated “goods returned under warranty” and “zero commercial value”. If this is not done and we incur a charge for import duty we will deduct this from any refund.
  6. The invoice or a copy or invoice number and a description of the problem must be returned with the goods.
  7. Our liability is restricted to replacing goods supplied by us only. Should it not be possible to replace the goods we can credit your account or a refund will be made.
  8. Goods supplied correctly as ordered may be liable to a restocking charge.
  9. In the case of special orders and where goods have been made to customer specification, we reserve the right to refuse cancellation and refunds.
  10. Credit notes

For any goods returned and deemed suitable for refund, credit will be created. Vincent Spares do not normally issue credit notes, any credit is held on your account, and a statement of account can be requested at any time. Should you require a refund to be paid please advise us at the time of the transaction.

  1. Loss in transit

You agree that proof of delivery supplied by our delivery company is sufficient evidence to establish that goods have been received. All goods are fully insured by us whilst in transit to you. Before goods are considered ‘lost in transit’ and replacements sent or a refund given, the following time limits apply. Within the UK this is fifteen days, the rest of Europe it is twenty days and all destinations outside Europe it is twenty-five days. Should items be received after they have been replaced you are required to inform us and we will agree what action is to be taken.

  1. Ownership

All goods remain the property, but not the responsibility of, Vincent Spares until paid for in full.

  1. Copyright/Trademarks/Data Protection

All content included on the site including but not limited to web site design, text, graphics, audio clips, visual clips, logos, and the selection and arrangement thereof are the property of Vincent Spares and is protected by UK and international copyright laws. You may view, copy and print portions of our website for the sole purpose of placing an order with us. The materials on our website may not be used for any other purposes.

  1. Machine Sales Terms and Conditions

Vincent Spares offer their services as a Sales Agent to private owners of Vincent and Vincent H.R.D machines. All sales arrangements will be subject to a simple agreement:

12.1 The motorcycle will remain the property of the Seller at all times until a sale has been completed

12.2 Vincent Spares agree to organise and manage the sale on behalf of the Seller. However, the sale will be ‘a private sale’ between the Seller and the eventual Purchaser.  There is no guarantee that a suitable sell at a particular price will be achievable

13,3 The UFM and Engine numbers must match the registration document, if not we will refuse to take the machine in for sale. We strongly recommend that the VOC Machine Registrar is contacted to assist in any changes to the registration

12.4 The various frame and engine numbers will be inspected by Vincent Spares prior to accepting the machine and will be passed to the VOC Machine Registrar to be verified. If a VOC Dating Certificate and factory records are not with the machine these will requested from the VOC and any costs deducted from the sale monies

12.5 If there is found to be any issue with the frame and engine numbers, we discuss this with you. We strongly recommend that you contact the VOC Machine Registrar prior to putting the machine with us

12.6 Unless by prior agreement, the Seller’s personal details will only be divulged to the purchaser by Vincent Spares on completion of the sale, as on the registration document

12.7 Delivery of the motorcycle to the Vincent Spares will be the responsibility of the Seller. Vincent Spares may be able to arrange this for the Seller, at cost

12.8 Vincent Spares will display the motorcycle at our premises in Desborourgh

12.9 Should the machine require any minor work, cleaning etc to prepare it for sales Vincent Spares can do this work at cost. The maximum spend on this will agreed in advance

12.10 Vincent Spares will take all reasonable care of the machine while it is at their premises, however the motorcycle remains the property of the Seller until sold.  Vincent Spares will insure it whilst on the premises, the cost of this being included in the selling fee

12.11 The Seller shall be responsible for the accuracy of any historical provenance and the mechanical description of the machine. Original copies of supporting documentation for these are to be supplied

12.12 Before the machine is offered for sale a realistic estimated sale price will be agreed between the Seller and Vincent Spares, including a minimum ‘reserve’ price: Vincent Spares will try to achieve the highest possible sale price

12.13 Advertisements (in the name of Vincent Spares) will be placed on our web site, in MPH, and anywhere else Vincent Spares considers appropriate to achieve a sale, the cost of this being included in the selling fee

12.14 Vincent Spares will charge the Seller a fee of 8% *  of the final selling price, per machine unless otherwise agreed in writing. This fee will be subject to VAT at the current rate, as applicable. Vincent Spares will take no fees for the sale from the Purchaser.

12.15 Vincent Spares will act as escrow account for the payment of the agreed sale price. Vincent Spares fees and costs will be deducted from this and the balance paid to the Seller by cheque or bank transfer with an invoice for the fees and costs.

12.16 Vincent Spares will issue a receipt to the Purchaser for the full sale price on behalf of the Seller

12.17 Vincent Spares will be allowed exclusive rights to sell the machine for a period of six months (or other period as agreed in writing).; If the Owner of the machine sells the machine privately during this time then the Owner shall still be liable to Vincent Spares for our full sales fee and costs before the machine is released from Desborourgh

12.18 If the machine fails to sell within this time and the Owner/Vincent Spares does not wish to extend the period and the machine is returned to the Seller, Vincent Spares shall be entitled at their discretion to invoice the Owner for their reasonable costs to date

12.19 Each individual machine shall be subject to a separate agreement under these terms

All Vincent Spares transactions are performed under the jurisdiction of English Law

TERMS AND CONDITIONS for VOC Spares Company Ltd WORKSHOP

 

Introduction

These Terms and Conditions cover work undertaken by the VOC Spares Company Ltd (Vincent Spares) workshop on behalf of buyers (Buyers).

If the Buyer agrees to any work being carried out by Vincent Spares this shall be deemed conclusive evidence of the Buyer’s acceptance of these Conditions.

1 The Price and Payment

1.1 The price of the service provided shall be the price agreed in writing between Vincent Spares and the Buyer at the time the Buyer agrees to work being carried out. This price is an estimate and may vary, as defined in 2.6 below. The quoted price of the work is exclusive of VAT.

1.2 Payment of the price and VAT shall be due on or before the time of collection/delivery of vehicle, unless otherwise agreed in writing with Vincent Spares.

2 Estimates / Deposits

2.1 Estimates are valid on the date given. If instructions to proceed are not received from the Buyer within a reasonable time and the machine is on site at the workshop, Vincent Spares may invoice for storage charges from the date that the vehicle was received until its collection, according to Clause 8.1.

2.2 All estimates by Vincent Spares are subject to change which may be caused by variations in Vincent Spares costs of labour, material, parts and external costs used at the date of estimate. In the event of any variation occurring after acceptance of the estimate, Vincent Spares may ask the Buyer to pay any increase due to such variation.

2.3 If no estimate is provided or if part only of the work covered by the estimate is carried out, Vincent Spares shall be entitled to charge a reasonable and proper price for the work done (including any stripping down leading to determination as to the practicability or otherwise of any work, and subsequent reassembly) and for materials and spare parts supplied.

2.4 Vincent Spares may ask for a deposit before commencing any work.

2.5 Vincent Spares may refuse to carry out all, or part of, any work for any reason irrespective of whether an estimate has been provided or not.

2.6 Any variations to the estimate, the scope of the work, or the prices chargeable shall be agreed in writing and subject to these Terms and Conditions.  Any variation to an existing contract shall not be deemed to constitute or create a new or separate contract.

2.7 The buyer shall co-operate with Vincent Spares in all matters relating to the work.

3 Completion and Delivery

3.1 Every effort will be made to provide the Goods and/or Services by the estimated time, but Vincent Spares shall not be liable for any delay in completing the Goods and/or Services. Time shall not be of the essence in respect of this contract. Risk passes on delivery or on collection. For the avoidance of doubt, Vincent Spares will not be held liable for any delay caused by outside influences i.e., goods not delivered in time, sent incorrectly or sub-contractor work.

4 Payment

4.1 Payment for all Goods and/or Services, repairs and/or spare parts supplied is due on completion of the work. The goods and/or Services, or repair is completed for the purpose of these Terms and Conditions when notice has been given that the vehicle is ready for collection. All Goods and/or Services shall remain the absolute and unencumbered property of Vincent Spares until such time as Vincent Spares has received cleared payment in full from the Buyer.

4.2 In the event of non-payment Vincent Spares shall have a general lien on all the Buyer’s vehicles that are subject to work by Vincent Spares for all monies owing to Vincent Spares by the Buyer on any account whatsoever. Vincent Spares shall be entitled to storage charges during any period in which the vehicle(s) may be retained by virtue of the lien, according to Clause 8.1.

4.3 Without prejudice to any of Vincent Spares other rights, Vincent Spares may, in the event that any sum is not paid on or before its due date, suspend the service it provides to the Buyer. Any parts, or equipment, provided to the Buyer by Vincent Spares remain the property of Vincent Spares until all amounts owed are paid.

4.4 If the Buyer’s indebtedness to Vincent Spares is not satisfied within 100 days from the date of the first invoice to the Buyer, Vincent Spares may without notice sell any vehicle or parts owned by the Buyer by public auction or private treaty. The net proceeds of the sale shall be applied towards satisfying the monies due from the Buyer to Vincent Spares, and any balance shall be paid by Vincent Spares to the Buyer.

4.5 Vincent Spares shall be entitled to recover from the Buyer all administrative, collection and legal costs incurred when recovering overdue amounts and all sums that become payable under this Section 4 above.

5 Work authorisation

5.1 The scope of work is agreed as part of the estimate.  Any additional work deemed necessary must be authorised by the buyer in writing.

5.2 All parts removed by Vincent Spares in the course of the repair shall, if not claimed by the Buyer within 24 hours of the Payment, be deemed to be owned by Vincent Spares and they shall become Vincent Spares’ absolute property. Parts returned are subject to a handling charge. Parts specially ordered are not returnable.

6 Warranty

6.1 The work is warranted for a period of 100 days from collection, after which no claims against warranty can be accepted.

6.2 In the event of a potential claim under warranty, you should notify us immediately, whereupon the defect will be assessed and repaired free of charge by Vincent Spares providing the exclusions do not apply. Any repairs by an alternative organisation will only be permitted with prior express authorisation by Vincent Spares in writing. Your statutory rights are not affected.

6.3 The term of the warranty applied to any parts used will be those granted by the manufacturer.

7 Damage Liability/Damage to vehicle

7.1 The Buyer is responsible for checking their vehicle for any damage before it leaves Vincent Spares premises. Once the vehicle leaves Vincent Spares premises it will be deemed complete and accepted by the Buyer.

8 Vehicle Storage

8.1 Vincent Spares will invoice £25.00 + VAT per day for the storage of any vehicle not collected within 14 days of the Buyer being notified that the machine is read for collection, or any other mutually agreed collection date. Buyers should note that vehicles arriving at the workshop before the time scheduled are not covered by our insurance.

9 Jurisdiction

All Vincent Spares transactions are performed under the jurisdiction of English Law.
